Doh! Forgot to mention: I'm seeing this under Win2k & Solaris 2.5.1.

Using the version of "font-lock.el" in the latest 21.2 build (revision
1.7.2.28), loading any file which requires font-lock seems to peg the CPU.
Reverting to revision 1.7.2.27 fixes things....
