cvs co dired

That's correct. Use the -P option to cvs update to get rid of such
empty obsolete directories.
The dired package, like most of the Lisp application code, has been
moved to the separate packages module.
You can check that out either as a sibling of xemacs-21.5, or as a
child of it.
